These Terms of Service ("Terms") govern your access to and use of the uluuk website and services (the "Services"). By using the Services or engaging uluuk ("we", "us", "our") for social media management, you agree to these Terms.

1. Services

uluuk provides social media strategy, content creation, community management, and analytics services as described in a mutually signed proposal or statement of work. Any deliverables, timelines, and fees are specified in that document and prevail over general marketing copy on this site.

2. Client responsibilities

• Provide timely feedback, brand assets, and account access required to perform the work.
• Ensure that any materials you supply do not infringe third-party rights.
• Comply with the terms of the platforms on which content is posted.

3. Fees and payment

Fees, payment schedule, and currency are set out in your proposal. Invoices are due within 14 days of issue unless otherwise agreed. Late payments may result in paused work and reasonable late fees.

4. Intellectual property

Upon full payment, you own the final deliverables produced for your brand. We retain ownership of our pre-existing tools, templates, and processes, and reserve the right to display non-confidential work in our portfolio and case studies unless you request otherwise in writing.

5. Confidentiality

Each party agrees to keep confidential any non-public information shared during the engagement and to use it only for the purpose of performing the Services.

6. Third-party platforms

Our Services rely on third-party platforms such as Instagram, LinkedIn, TikTok, and analytics tools. We are not responsible for changes, interruptions, or account actions taken by those platforms.

7. Disclaimers

While we work hard to drive results, we do not guarantee specific follower counts, engagement rates, sales, or other outcomes. The Services and this website are provided "as is" without warranties of any kind.

8. Limitation of liability

To the maximum extent permitted by law, uluuk's total liability arising out of or related to the Services will not exceed the fees paid by you to us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate an engagement in accordance with the notice period specified in the proposal. You remain responsible for fees earned through the effective termination date.

10. Changes to these terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
